4.4 Place of performance shall be Frankfurt am Main, Federal Republic of Germany.

4.5 Any action or other legal proceedings arising out of or in connection with this Guarantee shall

exclusively be brought in the District Court (Landgericht) in Frankfurt am Main.

4.6 This Guarantee is drawn up in the German language and provided with an English language

translation. The German version shall be the only legally binding version. The English transla-

tion is for convenience purposes only.
